Dear Hawke's Bay Regional Council,

I am requesting information under the LGOIMA information relating to development of the Ruataniwha Water Storage Scheme by the Hawke’s Bay Regional/ HBRIC.

Specifically, I am an interested in obtaining:

1) The registered declaration of financial interests of Senior Management and Board Members tasked with developing the Ruataniwha Dam project by HBRC/ HBRIC

2) Records of meetings or communications where potential conflicts of interest associated with developing the Ruataniwha Dam were discussed by HBRC/ HBRIC managers.

3) Internal or external correspondence which details how Dr Andrew Pearce's role as HBRIC Chairman, and as a non-executive director of BNZ could be practically managed, given BNZ are in line to provide project finance to Ruataniwha Dam, and Dr Pearce has a fiduciary duty to BNZ shareholders to maximise shareholder profits.

4) Provide copies of opinion or advice which HBRC/HBRIC has obtained with regards to how the proposed merger of regional local government in Hawkes Bay may result in the transfer of risk, and or debts from the Ruataniwha Dam project, onto Hawkes Bay rate payers.

Good afternoon Joel,

 

Please consider this email as Council’s decision to provide the
information you requested under LGOIMA s10 via email on 28 November 2014.

 

I would like to respond to each point in turn:

 

1) The registered declaration of financial interests of Senior
Management and Board Members tasked with developing the Ruataniwha Dam
project by HBRC/ HBRIC

The registered declaration of financial interests of HBRIC Ltd is
attached as “Registered Interests HBRIC”

2) Records of meetings or communications where potential conflicts of
interest associated with developing the Ruataniwha Dam were discussed by
HBRC/ HBRIC managers.

Please find attached a copy of a legal opinion where potential conflicts
of interest were discussed (Attachment 2)  and links to records of
meetings where those discussion occurred

3) Internal or external correspondence which details how Dr Andrew
Pearce's role as HBRIC Chairman, and as a non-executive director of BNZ
could be practically managed, given BNZ are in line to provide project
finance to Ruataniwha Dam, and Dr Pearce has a fiduciary duty to BNZ
shareholders to maximise shareholder profits.

Attachment 3 – sets out the Minutes of the HBRIC Board meeting where
this was dealt with.

In addition I repeat the information given to you by Dr Pearce in an
email of 28 November 2014:

a)The decision to appoint BNZ Advisory was in fact made by Hawke's Bay
Regional Council, on the recommendation of HBRIC Ltd (and as set out
below I took no part in the process of making that recommendation to
Council)

b) HBRIC Ltd has formal register of interests which is included in the
agenda of all Board and RWSS Committee meetings, and my BNZ interest has
been on the register since my appointment as an HBRIC Ltd director.

c) My interest in HBRIC Ltd was declared to BNZ at the time of my
appointment as a HBRIC Ltd directors, and is on BNZ's formal register of
interests.

4) Provide copies of opinion or advice which HBRC/HBRIC has obtained
with regards to how the proposed merger of regional local government in
Hawkes Bay may result in the transfer of risk, and or debts from the
Ruataniwha Dam project, onto Hawkes Bay rate payers.
