Thank you for emails dated 14 and 15 September 2022 containing requests to
Christchurch City Holdings limited (CCHL) under the Official Information
Act 1982 (OIA).

 

You have requested CCHL provide:

1.       details of the governance framework currently in place and the
date from which this has been introduced; and

2.       any recommendations made by CEO Tim Boyd of CCHL to the chair or
the CCHL board or individual board members on changes to the governance
framework for CCHL during 2022.

 

CCHL publishes a Corporate Governance statement each year in its Annual
Report.  The latest version (for the year ended 30 June 2022) was issued
to the market on 30 September 2022.  The statement is included on pages
195 to 199 of the CCHL 2022 Annual Report:

CCHL first published its Corporate Governance statement in the 2015 Annual
Report.

 

There were no recommendations made by Tim Boyd to the chair of CCHL and we
are not aware of any communication with individual board members to change
the governance framework for CCHL during 2022.  Therefore we have decided
to refuse this request under the following section of the LGOIMA - 17(e) –
the information requested does not exist or cannot be found.

Dear CCHL,

My request was for the formal governance framework which includes the rules and procedures by which decisions are made by cctos and cchl. I am aware of the governance statement issued in the annual report but this is not what I requested.

From your reply I understand there is no formal documented framework that defines governance at CCHL.

Could you please confirm this and that therefore all governance is on an ad hoc basis as the board and management sees best fit at any point in time.
