I am writing in response to your request for information “…regarding the
purchase by Careers New Zealand of a business called Oompher… the
parameters of this purchase, including: the purchase amount, a list of the
assets purchased, and any conditions imposed on the vendor or purchaser as
part of the sale agreement.”
Careers New Zealand is the major hub for independent career information
and advice. A key pillar of our strategy focuses on reaching young people,
Mâori and Pasifika through our online digital tools and resources. We
purchased Oompher as part of our long term investment to broaden the range
and depth of relevant and accessible digital tools and resources available
to young people. In particular the purchase boosted our digital video
resources. We see the Oompher videos and approach as a
‘for-youth-by-youth’ format that helps to inspire young New Zealanders on
their career pathways.
Through the purchase Careers New Zealand acquired all the assets of
Oompher:
o Intellectual Property
o 84 videos; and
o branding assets.
The sale and purchase agreement between the vendor, Mr Jake Miller (also
known as Jake Millar) and Careers New Zealand contained a range of terms
and conditions typical of such contracts including terms relating to
restraint on future business activities of Mr Miller as the vendor and
owner of Oompher. The specific details of the sale and purchase agreement
are withheld under section 9(2)(i), section 9(2)(j), and section
9(2)(ba)(i) of the Official Information Act.^1
The financial information related to the acquisition of Oomper is
publically available via our Annual Report 2014-15. It is shown on page 55
of the Annual Report which can be downloaded from
careers.govt.nz/annualreport. For your convenience we have attached the
information as Appendix A. Those audited disclosures have been made in
accordance with all accounting and legal requirements.
