Dear Land Information New Zealand,

Urgent OIA request.
Urgency due to the new purchase which is to be made for Lochinvar.

1. The Crafar farm purchase was considered with view of Milk New Zealand Hong Kong registering in New Zealand prior to making the purchase . However second company was formed with the same name but with an unidentifiable shareholder ( which may or may not be the BV company Milk NZ investments) What consideration and due diligence was conducted with respect to milk New Zealand Investment the alleged share holder of the subsequently formed NZ registered milk New Zealand Holdings. Please provide all documents which show the existence of Milk NZ investment and confirms shareholding of that company.

2. The companies registration of Milk New Zealand Holding Limited is deficient in that the directors home address as legally required but is not listed and there is no visible evidence that the shareholder Milk New Zealand Investment exists and if so where it is registerd. Has Linz OIO considered this potentially unsafe company registration due to it not specifically identifying the Registered office of Milk NZ investment as the law requires. ( it is a link in the chain which is broken )

3. In the due diligence of the purchase of Syfield farms was evidence obtained to prove the entire genealogy of SFL the purchaser of the farms. please provide that evidence showing where each company was registered, when it was registered who the shareholders and directors are.

4. A document has been located on Reuters link.reuters.com/fuv22w which shows the side branches to the company structures . A company called Roland animal husbandry appears to be set to acquire the companies which hold the farms . What dangers were considered in your due diligence which would mitigate the companies and the land assets together being sold of to another entity .

5 What safe guards and conditions exist in the sale agreement which prevents the property being on sold un screened unknown persons.

6. was the on sale of the land considered at all .

information on the ownership structure of Milk New Zealand Holding
Limited/ Shanghai Pengxin Group Co Limited.

 

In terms of your request attached is a link to this Office's memorandum to
Ministers in relation to the application by Shanghai Pengxin Group Co
Limited to acquire Synlait Farms  which will provide you with information
on the ownership structure.

Any on sale of Synlait Farms either directly or through the sale of the
shares in the existing owning entity to an overseas entity would require a
further application for consent under the Overseas Investment Act 2005 to
be made to the Overseas Investment Office.

Thank you for your response I am aware of this document and received a copy of the BVI documents relating to Milk New Zealand Investment Limited.

the issue is that when a chain of companies pass through a non transparent medium the cannot be any certainty as to the directorship please refer to my post http://www.anticorruption.co.nz/2014/09/...

There are three companies in this genealogy which were not expected to be present when the crafar farm sale was considered . Milk New Zealand holding HK was to be the purchaser and it was not , three more companies were created to affect the purchase one a very non transparent company which was not portrayed on our companies register as a British Virgin Island company until we raised the issue of lack of existence on the NZ register.

Does this mean that directions of the OIO can be ignored ?
