I  refer  to  your  Official  Information  Act  request  of  10  September  2014  and 
respond as follows.

It is clear from paragraph 4 of the report attached to the OIO’s 29 March 2012 
recommendation  that  the  registration  of  Milk  New  Zealand  Holding  Limited  as 
an overseas company was to take place “prior to acquiring the investment”.  
3. 
Milk  New  Zealand  Holding  Limited  did  not  acquire  the  investment.    Milk  New 
Zealand Holding Limited altered its decision about how it was going to structure 
the purchase and submitted an application.  The application sought to vary the 
consent so that a New Zealand subsidiary could complete the purchase.   
4. 
Consent  was  granted  to  the  application  for  variation,  and  the  New  Zealand 
subsidiary  proceeded  to  purchase  the  farms  in  accordance  with  the  varied 
consent.
