Subject: Companies Office - Official Information Act Request - Companies Register Proof of Existence of Shareholders [UNCLASSIFIED]
Dear Grace,
I refer to your Official Information Act request of 8 July for information relating to the evidence that the Registrar of Companies requires to prove that a director and shareholder exists when an application is made to register a limited liability company, what evidence and checks are made to see if a company listed as a shareholder exists, and whether the directors of the shareholding company agree to the shareholding.
The Registrar accepts at face value information that is provided in accordance with the Companies Act 1993 in the majority of applications that she receives. Where an application involves an overseas company, the Registrar may request that additional director and shareholder consent and identity information be provided. Further details about the type of information that the Registrar can request is attached to this email and can be found on the Companies Office website at http://www.business.govt.nz/companies/ab...
I trust that this assists.
Yours faithfully,
David Josland
