Dear Tāmaki Redevelopment Company Limited,

By way of OIA please provide copies of
1.the authorities signed by the minister of Building and finance to set up Tamaki regeneration limited which is alleged on the companies web site to be your subsidiary
2. all documentation which discusses the need to set up Tamaki regeneration limited along side Tamaki redevelopment company limited and showing the ministers awareness of this move and their consent .
3. documents relating to the setting up of THA GP limited as a subsidiary of Tamaki redevelopment limited and the subsequent setting up of the limited partnership Tamaki housing association LP showing the ministers and councils knowledge and consent.
4. all research and notes which relate to Tamaki housing association LP and discussing the implications of crown owned assets being controlled by a Limited partnership and the implication on its legal status as a crown entity .
5. the agreemnts and contracts between Tamaki housing association and Tamaki regeneration limited which owns the properties
6. On 14 and 15 April 2016 Tamaki redevelopment company limited was removed as a share holder of Tamaki regeneration limited , please provide all documentation which facilitated the removal and the reinstatement of Tamaki regeneration limited and please advise what the actual share registry of the crown owned enterprise Tamaki regeneration limited shows.
7 please provide directives which facilitated the removal of the names of the minister of housing and minister of finance on 31 march 2017 from the share registries of both tamaki regeneration limited and tamaki redevelopment company.
8.the ministry of building and construction and ministry of finance are positions and not legal persons in parliament and not legal persons capable of holding shares please provide documents which show the consideration given by the directors and the consents of the ministers l given for transferring the share holding from Minister For Building And Housing Hon Dr Nick SMITH to Minister For BUILDING AND CONSTRUCTION on 31 march 2017 and Minister For Finance Hon Bill ENGLISH to Minister For FINANCE
9 Tamaki redevelopment company limited is listed as the ultimate holding company of Tamaki regeneration limited yet it holds 0 % of the shares please provide all documentation that shows how this could possibly comply with section 5 of the companies act and provide all documents which show that tamaki regeneration limited has control over tamaki regeneration limited and is not merely a sister crown entity .
10 Please provide all documents which allow for delegation of authority from the minister of finance and building to any person to allow them to set up other companies and limited partnerships and show who it was delegated to and what the terms and limitations of the delegation was in terms of being able to set up companies in the name of the minister of finance.
11documents which show that the constitution of Tamaki regeneration was approved by the minister building and housing and minister of finance
12 the constitution for the tamaki redevelopment company is 25 pages long, it was initially intended to receive all the housing corp homes in east tamaki. Instead the properties were transferred to Tamaki regeneration limited which has a 7 page constitution and erroneously refers to tamaki regeneration ltd as a subsidiary of tamaki redevelopment co ltd. please provide all documents and discussion papers which show why one has a comprehensive constitution and the other has a misleading and short constitution, when the company with the short constitution is actually the one holding the assets.
13 a 20 million dollar loan is also involved please advise who the recipient of this loan was was it Tamaki redevelopment Co limited or tamaki regeneration limited.
14 in correspondence tamaki regeneration limited is often referred to as TRC this tends to confuse matters , it is unclear why the one company became two companies with THA GP a third being a true subsidiary of tamaki redevelopment company limited being the general partner in the limited partnership tamaki housing association whihc collects the rent. Please provide the contracts/ mous between the parties and provide all documentation which is behind the reasoning for making Tamaki housing association the rent collector for a company which does not own the houses .

Chris you are quite incorrect

1. . I cannot make a request from Tamaki regeneration Company the reason for that is that
a. That is not a legal name for anything and is not identified as any specific company in the correspondence which I have referred to
b. It is not a crown entity as crown entities have to be real companies

2. I have made requests from Tamaki regeneration limited incorporated 11 Nov 2015And Tamaki redevelopment company Limited incorporated 06 Aug 2012 you invited me to clarify my requests and I have done so now you are trying to infer to them as extra requests .. I totally dislike spin we have too much of it

Both are separate legal persons and neither is the subsidiary ( by virtue of the definition in the company’s act ) of the other There is no such legal structure as a legal group . it may be that all have the same lawyers but there is no legislation which supports the concept of a “ legal group “ If I am mistaken please provide the legislative authority your rely on for “ legal group” as a structure.

5. The use of the trading name Tamaki regeneration company, TRC is where the problem occurs to such an extent that your own employees and directors are confused as below

In parliamentary papers it states but he assets were transferred to Tamaki regeneratin Limited

At the time of transfer of the assets the ministers stated https://www.beehive.govt.nz/release/auck...
“The ownership and management of about 2800 Housing NZ properties in Tāmaki will today be formally transferred to the Tāmaki Regeneration Company (TRC), which is jointly owned by the Crown and Auckland Council. “ the houses were transferred to Tamaki regeneration limited TRL, TRL is not owned by crown and council

“The Tāmaki Housing Association, a subsidiary of TRC, will tomorrow become the new landlord for Housing NZ tenants who live in the areas of Glen Innes, Point England and Panmure,” Housing New Zealand Minister Bill English says.” Tamaki Housing is not a subsidiary of the company which owns the houses

“TRC was established to lead the Tāmaki Regeneration Programme, which will see the delivery of 7500 social, affordable and private homes in the next 10-15 years.” Yes TRC Tamaki regeneration company limited is being referred to not to be confused with TRC Tamaki regeneration referred to above which received the properties

I am not surprised that you are declining the request as an honest reponse to my questions would throw any spin artists into a spiral of self destruction

I will therefore publish this and the evidence of the BS which is involved on the Anticorruption web site run by the new Zealand independent commission against corruption

Since your letter does not form any legal obligation being on a letter head from a fictional company , it does not comply with section 25 of the companies act
25Use of company name
(1)
A company must ensure that its name is clearly stated in—
(a)every written communication sent by, or on behalf of, the company; and
(b)every document issued or signed by, or on behalf of, the company that evidences or creates a legal obligation of the company.

I will therefor treat your response as a nil response as I have not received a reply from either Tamaki redevelopment company limited nor Tamaki regeneration limited both crown entities.
