Dear Department of the Prime Minister and Cabinet,
Please provide all documentation for the below questions related to legal entity acting as the New Zealand Society. If the Crown is representing multiple societies provide the below for each society.
Please advise if the corporation aggregate known as “HER MAJESTY THE QUEEN IN RIGHT OF NEW ZEALAND” is the Zealand Society and no other separate legal entity is used.
The definition of a society (to avoid confusion or misunderstanding): A society is a number of persons united together by mutual consent, in order to deliberate, determine, and act jointly for some common purpose.
1. Establishment information examples (trust deed, Articles of association, Memorandum of association)
2. Annual accounts / reports / annual statements
3. Any Acts and legal documents relating to the creation of the entity
4. the society’s objects (aims)
5. Policies and procedures (examples)
- how a individual becomes and stops being a member
- how general meetings are called and held, and how voting is to take place at these meetings
- how the society’s officers are appointed
- roles and powers of officers
- different classes of membership and the voting rights of each class.
- the control and investment of the society’s funds, and the society’s powers (if any) to borrow money
- how the rules can be changed.
- registered offices / address
