The PSC has provided the following feedback on the paper:

PSC broadly supports the paper and the Bill but has concerns about two new policy decisions taken by the Minister as
part of the drafting process.  These have not been consulted between officials or considered by Cabinet. The Minister
has decided to legislate to:

​allow the appointment of the Secretary of MBIE as a special advisor to the Invest NZ board (Paragraph 11.2) 
​require Invest NZ to notify the Minister of how it will have regard to government direction, including a statement
in its annual report (Paragraph 11.3). 

The paper provides 9(2)(g)(i)  for these decisions, they raise machinery of government concerns, and the underlying
issues can be managed without legislation.  PSC’s concerns are that: 

Act 
​the proposal to legislate that the Minister can appoint the Secretary of MBIE as a special advisor to Invest NZ may
lead to role confusion, as MBIE is also the monitoring department for Invest NZ 
​the monitoring department already has a role in supporting a Crown entity to succeed and the Minister and
monitor can already ask for any information, at any time; legislating for novel arrangements looks like Invest NZ
is not trusted, or requires additional oversight and control 
​The stated rationale for making Invest NZ an ACE is that it provides a “balanced level of Ministerial oversight and
entity independence” but moving beyond regular monitor-entity relationships risks undermining this balance; if
greater control is desired, a Crown Agent may be more appropriate. ​

Please find attached for Ministerial consultation a Cabinet paper for LEG on 8 May 2025, which proposes that the
Official 
Invest New Zealand Bill (the Bill) be approved for introduction to the House of Representatives. Introducing the Bill is
item three on the Coalition Government’s action plan for the second quarter of 2025.
Cabinet, as part of the science and innovation system reforms, agreed in November 2024 to establish Invest New
Zealand. This new investment agency would focus on inward investment attraction. Please note the establishment of
Invest New Zealand has circulated a couple of times at Cabinet already in the lead up to introducing the Bill, as outlined
