Welcome
The Chair welcomed new Board members Nicole Anderson, Kevin Drinkwater and CFO
Bob Trautz to their first meeting.

There were no apologies for the meeting.

3.1. Declarations of interest
Board members requested declarations be updated with subsidiary appointments
[Action].
Noted that Sarah Petersen:
a) continues to have a potential interest as acting/supporting CFO for FNHL
contracted via SODA Group Limited.
b) continues to have a potential interest as Board Member on Tupu Tonu.
Noted that Nicole Anderson:
a) has a potential interest due to being a director with Top Energy.
b) has a potential interest due to being a director at Ngapuhi Asset Holdings Limited.
c) Has a potential interest due to being a director at Northland Inc.
Noted that Kevin Drinkwater:
a) has a potential interest due to being a director with North Power.
b) has a potential interest due to being The Chair of Duffy Books in Homes NZ – a
charity registered as the Alan Duff Charitable Trust.
c) has a potential interest due to being a director of Books in Homes USA.
d) A berth holder at Bay of Islands Marina (owned jointly with wife, Sandra).
New Board members are to receive the declaration of interest schedule for completion prior
to the next Board meeting

Strategic Review
The board received the paper. Discussions were held as to the long-term strategic
direction of the organization with specific regard to Balance Sheet management.
Management recommends the Board:
• Receives the strategic update.
