Morning Murray

We don’t need anything further under the Confidentiality Undertaking – it allows
disclosure to related entities, employees and professional advisers provided Tuwharetoa
has made them aware of the confidentiality obligations.  Tuwharetoa is liable if any of
them breach the undertaking.

Hi Mark

Re you email attached.
The attached Confidentiality Agreement (CA) was sent out for signing on behalf of Tuwharetoa.

However, as per the email below, they’ve raised the issue re all their advisors also.

Do you think we should have a Master CA with a Schedule attached; or are we best to send
separate CA’s to all the advisors, and have them individually sign?

Thanks

Murray

Hi Murray,

Thank you for the email.

We have had a look at the executed NDA you sent through and s 9(2)(a)
. We had assumed
the "interested party" to be an entity such as a company or trust. Are you able to confirm this

please? If the interested party is a company or a trust, then we would ask that the NDA be
executed in the name of the interested party as recipient, s 9(2)(a)

Ruapehu Alpine Lifts Limited (In Liquidation) - NDA - Te Kapua Whakapipi Trust.pdf
Hi John

Please find attached the signed NDA. This has been signed off by the Chair of Te Kapua
Whakapipi Trust, Ngatoru Wall.
We have been advised that this trust delivers on the Hapu aspirations of Tuwharetoa based on
Te Ariki Tumu’s key outcomes for Tuwharetoa; and that they will facilitate the DD through this

entity and make final determinations on the appropriate Trust to put forward the final proposal.

I trust this is sufficient to reinstate the access to the dataroom.

Thanks

Hi

In relation to the emails below, I spoke with s 9(2)(a)
 and s 9(2)(a)
 at Bell Gully this
afternoon.
They appeared to have been given a steer to us by the liquidators, but I explained the due
diligence was for them to complete, primarily via the PWC dataroom.
I explained that, from a legal perspective, we (nor Chapman Tripp) had nothing more to provide
– except if, and when, Tuwharetoa, after completion of their due diligence, wished to proceed

with a formal bid.

They accepted and agreed with the outline of the process I provided – it’s as they would have
expected.
I explained Chapman Tripp’s role, and the availability of documents (such as SPA etc) in due
course.

As an update, the draft sale and purchase agreements were uploaded to the dataroom

Do you or anyone additional in your team need access to the dataroom?
If you have any questions, please let me know.

Hi Kate

Please see attached SPAs that were provided to bidders via the dataroom.  There’s one
SPA for each ski field, and a combined SPA for both ski fields.

We’ll come back to you on the other points as soon as we can.

Kind regards
Ben

And just noting a couple of other points arising from yesterday’s meeting:
Once CT has had a chance to check the data room, could you please let us know if the
Whakapapa Village buildings are included in the asset list?

No rush, but at some point it would be helpful if someone could please send us the draft
SPA.

I am writing to you because the Ministry of Business, Innovation and Employment (MBIE) has
received an Official Information Act (the Act) request asking for all documents, including emails
and texts, related to bidder access to RAL’s data room or similar.

Within scope of this request is an email thread between yourselves and John Sandford. We are

sending this email for your information, and to inform you that we are planning to release the

attached with its proposed redactions (see red boxes in the attached).

The information at issue
We enclose a copy of the information at issue, which contain our proposed redactions, for your
ease of reference.

Your views
This email is an FYI that we will be releasing the attached to the requestor. However, you’re
welcome to provide your views about how the disclosure of the information at issue would
affect your interests. It may be that you do not object to the information being disclosed.
However, if you have concerns about release of the information, the more detail you can
provide, the better.
With that in mind, if you wish please let us know:
· what information (if any), you are happy for MBIE to release;
· what information you are most concerned about MBIE releasing, and why;
· how release of that information is likely to affect your interests; and
· any other information you think MBIE should take into account before making its
decision.

The good reasons for withholding official information are listed in sections 6 and 9 of the Act,
which you can view here:

MBIE’s decision
It is MBIE’s responsibility to make the final decision on this request. MBIE will take your views
into account in making that decision, but you cannot veto release of the information.

If you wish to provide comments on the proposed redactions, can we please receive your views
by 30 October 2023, end of day to [MBIE request email] (noting that the request is due to the
requestor on 31 October 2023).

Please note that if we do not hear from you by 30 October 2023, we may assume you do not
want to comment, and proceed to make our final decision based on the information before us.

We look forward to hearing from you.

Hi John,
I have now uploaded a schedule of current staffing and recruitment activity to the
dataroom, please see 2.15 RAL Current Staff and Recruiting 230419.
I will give you a call around the split of corporate

 staff across Whakapapa and Turoa,
however, essentially corporate staff are allocated

based on revenue, visitor days or wages.
No further split / allocation is available.
Regards
Chris
