2.  The historic relationship between these two entities is outlined below. s 9(2)

RRNZ (owned by IRHACE) was initially the Trust’s sole Corporate Trustee 
3.  When the Trust was initially established in 1993, the Trust’s sole corporate trustee was 
Refrigerant Recovery NZ Limited (RRNZ). RRNZ is a wholly owned subsidiary of the 
Institute of Refrigeration, Heating and Air Conditioning Engineers of New Zealand 
(IRHACE).  
4.  This relationship gave IRHACE significant influence over the Trust’s operations. In 
addition to having a Corporate Trustee, the Trust also had a Board of Directors.  
In 2021 the Trust’s Directors voted to remove RRNZ as Corporate Trustee 
5.  In March 2021, the Trust’s then Directors voted to restructure the Trust. This restructure 
included removing RRNZ as a Corporate Trustee.  
6.  Three of the Trust’s then Directors were appointed as new Trustees. Richard Lauder 
was also appointed as a new Trustee.  
IRHACE has raised a lawsuit against the Trust

In 2022 an independent facilitation process was unsuccessful 
9.  The Ministry attempted to find some common product stewardship (as opposed to legal) 
ground between key parties through an independent facilitation in 2022, but these efforts 
were unsuccessful.
