Dear Ms Trout
I am pleased to inform you that I have appointed you as a member of the WorkSafe New
Zealand Board (the Board) for a term commencing on 1 July 2024 and expiring on 30 June
2027.
A notice of your appointment wil be published in the New Zealand Gazette, and I will make a
press statement shortly.
Legislative framework of the appointment Your appointment is made in accordance with the WorkSafe New Zealand Act 2013 and the
Crown Entities Act 2004. I refer to certain key provisions of these Acts which apply to your
role as a member of the Board.
Term of office Section 32(3) of the Crown Entities Act relates to the term of office of members of a statutory
entity. Under this section, you may continue as a member despite the expiry of your term
until you are reappointed your successor is appointed or you are informed in writing that you

are not to be reappointed and that no successor is to be appointed at that time.
Resignation and removal Section 44 of the Crown Entities Act states a member of a statutory entity may resign from
office by written notice to the responsible Minister (with a copy to the entity) signed by the
member. Section 36 of the Crown Entities Act allows me as the Minister for Workplace
Released
Relations and Safety to remove any members from the Board at any time and entirely at my
discretion.
Collective and individual duties As a member of the Board, you are required to comply with the collective duties of the
Board, and individual duties of a member of a statutory entity as set out in the Crown Entities
Act.
The collective duties of the board of a statutory entity are to ensure that the entity acts
consistently with its objectives, functions, current statement of intent and current statement
of performance expectations (section 49); that the statutory entity performs its functions
efficiently and effectively, in a manner consistent with the spirit of service to the public, and
in collaboration with other public entities where practicable (section 50); that the entity
operates in a financially responsible manner (section 51); and ensure the entity complies
with sections 96 to 101 of the Crown Entities Act relating to any subsidiaries (section 52).
The individual duties of a member of a statutory entity are to comply with the Crown Entities
Act and the WorkSafe New Zealand Act (section 53); when acting as a member to act with
honesty and integrity (section 54), and to act in good faith and not pursue their own interests
at the expense of the entity’s interests (section 55); to exercise care, diligence and skil that
a reasonable person would exercise in the same circumstances (section 56); and not to
disclose or make use of, or act on information that would not otherwise be available to them,
except in certain circumstances (section 57). A position description for the WorkSafe New
Zealand member role is enclosed with this letter for your information.
Disclosure of interests
In accordance with the conflicts of interest disclosure roles under sections 62–72 of the
Crown Entities Act, I encourage you to continually disclose your interests in matters relating
to the Board to ensure that any perceived, potential or actual conflicts are managed
appropriately during your term.
Remuneration
Remuneration for a member of the Board is set in accordance with the Cabinet Fees
Framework. WorkSafe is classified as a Group 3a, level 3 body under the Framework. The
current remuneration for a member is $24,301 per annum. You are also entitled to claim for
actual and reasonable travelling and other expenses incurred in carrying out your duties as a
member of the Board.
Acknowledgement of appointment I would be grateful if you could formally acknowledge your appointment by signing the
attached letter of acceptance and returning it to the Ministry of Business, Innovation and
Employment ([email address]), who wil record it on my behalf.
A copy of this letter has also been provided to the Chief Executive of WorkSafe New
Zealand.
