I am pleased to inform you that I have appointed you as Chair of the Board of the Tertiary
Education Commission (TEC). I have set out the terms of the appointment below and will
shortly publish a notice in the
New Zealand Gazette confirming your appointment. That
notice will also confirm Robin Hapi CNZM as Deputy Chair of the TEC.

You have been acting Chair in recent months. Your official appointment as TEC Chair
begins from the date of this letter and is for the remainder of your current term of
appointment on the Board, ending on 31 October 2027.
Roles and duties

I am informed that the Ministry of Education has provided you with a copy of the position
description that explains your roles and duties as TEC Chair. You may also wish to
the
refamiliarise yourself with sections 49–68 of the
Crown Entities Act 2004, which set out the
collective and individual duties of Crown Entity boards and their members, including
disclosure of interests.
For further information on the functions and governance arrangements for TEC, you may
wish to refamiliarise yourself wit
h subpart 1 of part 5 of the Education and Training Act 2020.

I am informed that you have confirmed that there has been no change to the interests you
declared in your disclosure form for your initial appointment as a member of the TEC Board
(dated 13 September 2024). In that form, you declared no conflicts of interest in any matter
relating to the TEC Board but noted your interest as an Adjunct Research Fellow at Victoria
University of Wellington.
If any new conflicts (potential, perceived or actual) arise, you must ensure that these are
declared and managed effectively for yourself and the other Board members, including

must also be reported to the Director of the Monitoring and Appointments team at the

If any significant conflict arises, I expect you to advise me directly about that conflict. At a
minimum, you would need to recuse yourself from related discussion and decision-making
by the Board as necessary.
Fees
You will be paid $47,628 per annum (GST not applicable) in your role as Chair, based on an
assumed 50 days’ commitment per annum
.1 This is in accordance with Cabinet Office
Circular CO (22) 2: Revised Fees Framework for members appointed to bodies in which the

Other expenses
All TEC Board members are entitled to be paid, out of the TEC’s funds, reasonable and
actual allowances for travelling and other expenses relating to the performance of their
duties and responsibilities as Board members. The TEC will administer the payment of any
such expenses you incur during your time on the TEC Board.

acting ethically and with personal integrity, conducting themselves professionally, using and

activity, such as a consulting company, and accepts office as part of their taxable activity, any service
supplied by that person as holder of that office is deemed to be supplied in the course or furtherance
of that taxable activity. Accordingly, the member must collect and return GST on fees they charge for
services as a director.
Resignation and removal from office
The TEC is a Crown agent and the Crown Entities Act 2004 provides that the responsible
Minister may remove a member from the Board at any time, entirely at the Minister’s
discretion.
You may at any time resign from the Board by notifying the Minister responsible for the TEC
in writing.

employee who is appointed
in their own right to a board or advisory group, cannot claim both the fee
and their ordinary pay if they work on their board or advisory group duties during ordinary working hours
(CFF Section C, 73-79).

• An agency in the wider public sector, a tertiary education institution or wānanga,

• Any local authority as defined in the Local Government Act 2002 s 5.1.
Q 2. In what circumstances could I receive fees
if I am employed in one of the above entities?
Consider these four scenarios to see which applies best to your situation. If none apply, you would not be
able to claim board/advisory group fees.
Scenario 1: You agree with your employer that you will take annual or special unpaid leave to do the
board/advisory group work. You can be paid the daily fee personally because you do the role outside of
your ordinary working hours as secondary employment. If this might apply to you, please discuss this
as
early as possible with the Board secretariat.
Information
Scenario 2. Where the board/advisory group work is undertaken by a teacher or teaching-principal in
ordinary working hours, they can be offered, or can ask for, ‘Teacher Release days’ to be paid to their
school. This recompenses the school for having less of the teacher/teaching-principal’s time and funds
relievers. If this might apply to you, please discuss this
as early as possible with the Board secretariat.
Scenario 3. For non-teaching principals, your school may be able to receive your fees and add them to

school funds to recognise the provision of your expertise. If this might apply to you, please discuss this

Scenario 4. If you are working as a full-time academic you may be eligible to be paid fees as secondary

working with the Chair on any delegations of additional roles and responsibilities as the

As part of this appointment process, you noted your interests as Chair of Tū Ātea Limited,
and Co-Chair of Pūhoro. I expect you to declare these interests – and any new interests – to
the TEC Chair and for suitable mitigation strategies to be agreed where these represent an
actual, potential or perceived conflict of interest. Any new potential, perceived or actual
conflicts must also be reported to the Director of the Monitoring and Appointments team at
the Ministry of Education. At a minimum, you would need to recuse yourself from related

Fees
You will be paid $29,400 per annum (GST not applicabl
e1) in your role as Deputy Chair. This
is based on an assumed 30 days’ commitment per annum and is calculated in line with the
relevant default provision in the Cabinet Office Circular CO (22) 2: Revised Fees Framework
for members appointed to bodies in which the Crown has an interest (which is available
here). This provides for Deputy Chairs being paid 125% of the member rate. Further
