1. Payments to employers
The daily rate will be paid by Teaching Council of Aotearoa New Zealand (Council) to the Member’s
institution/school/centre or company. The Council Finance team will request the
institution/school/centre/company bank account number for direct crediting the fee.

2. Payments to Individuals (not subject to GST)
The daily rate will be paid by the Council to the Member.
The Finance team will forward to the Member an Inland Revenue Tax Code Declaration (IR 330C) form
for completion, as withholding tax will be deducted from all fee and mileage payments, unless the
member holds and has provided the Teaching Council with a valid Certificate of Exemption. They will also
request the Member’s bank account number for direct crediting the fee.
To claim fees, the Member will need to complete the
Competence Authority Member Fee Claim form. To claim expenses, the Member will need to complete the
Competence Authority Member Expenses
Claim form.
Expenses include:
• Travel, if not booked by Teaching Council
• Accommodation
• Expenses e.g. telephone, meal, parking, *private car use @ .76c per km.
*Where it would not be reasonable to travel by public transport and a member uses their own vehicle. Withholding tax wil be

Advice from Corporate Services
We would appreciate if the invoices and expense claims were complete, before submitting.
Please ensure that all receipts are attached for a claim. Tax receipts (i.e. itemised receipts) must be
attached. EFTPOS receipts are not acceptable receipts.
Inquiries concerning claims should be referred in the first instance to the Competence
Authority Coordinator (Coordinator).
When booking flights or other travel or accommodation, the member is required to seek the most
economical fare available. Corporate Services would prefer bookings to be made via the Team Leader
Teacher Practice. This allows for the best deal to be made for the Council and confirmation of
attendance and arrival times. Please note the Council cannot accept any alcohol and mini-bar charges.
Should members be engaging in further business before or after a meeting at the Teaching Council, this
needs to be disclosed when bookings are being requested.
Should the member require to co-ordinate travel and accommodation for alternative business before or
after a Teaching Council meeting the Team Leader Teacher Practice will not complete the bookings in
the name of Teaching Council. The member will be asked to provide their credit card details, employers
name for the name to invoice, or the name of the sponsor to invoice.
No bookings are to be made by members using Teaching Council name unless directly concerned with
Council business.
Taxi Charge Cards
Taxi Charge cards are to be used for Teaching Council business only. The Taxi Card holds a $1500
liability to the Council if stolen or lost and then used by another party. It is therefore important that you
keep the card safe.
Should the card be lost or stolen please report the event immediately to the Coordinator and Finance
(04) 470 9072 or Accountant (04) 470 9062 so the card can be cancelled. One master copy of the
Taxi Charge monthly record form is attached. Please attach all receipts in date order for the month.
Month is defined as the 1st to the end of the month inclusive; a calendar month. Please include a
descriptor of the meeting the travel was related to e.g. Competence Authority or special meeting.
Include the dates and reason for the meeting and what your travel related to.
Master copies of relevant forms are attached for your convenience.

Introduction
A
The Council has decided to engage the Member to provide services to the Council
as a member of the Competence Authority (Competence Authority) as set out in
Schedule 1 to this Agreement (Services).
B
The Member has agreed to provide the Services to the Council on the terms and
conditions set out in this Agreement, the Council’s policies (Policies) and the
Teaching Council Rules 2016 (Rules) as may be amended from time to time.
C
In the event that there are any inconsistencies between this Agreement, and/or the
Policies and/or the Rules, the Rules and Policies (in that order) shall take
precedence.
Agreement
1
Appointment and Term
1.1
The Council appoints the Member and the Member accepts such appointment to
provide the Services.
1.2
This Agreement commences on the Commencement Date as defined in Schedule 2
to this Agreement and will continue in force until the Expiry Date, subject to clause 4
of this Agreement.
1.3
The parties may extend and/or renew this Agreement by mutual agreement but
there is no expectation that the Agreement will be renewed or extended.
1.4
The Member is not an employee or agent of the Council nor shall anything in this
Agreement be construed as creating any relationship of employment or agency
between the Member and the Council.

Provision of Services

Work Standards
2.1
The Member shall exercise all due care, diligence and skill and shall conform with
the highest standards reasonably expected of professional persons providing the
Services.

Professionalism and Courtesy
2.2
The Member will act in a professional and courteous manner in performing the
Services.
Compliance with Directions
2.3
The Member shall comply with all directions and policies given by the Council or on
behalf of the Council.
2.4
For the avoidance of any doubt, nothing in this Agreement permits the Council to
give, or requires the Member to comply with, directions concerning any findings of
fact to be made by the Competence Authority on any report or complaint referred to
the Competence Authority or on the Competence Authority’s application of the facts
to the law which applies to the report or complaint.
Good Faith
2.5
The Member shall at all times deal with the Council in good faith and shall do such
things and sign such documents as shall be incidental to and reasonably required
for, the provision of the Services.
Compliance with Legislation
2.6
The Member shall comply with all applicable legislation.
Practising Certificate
2.7
The Member shall, where applicable, ensure his or her teacher’s practising
certificate is kept current.
2.8
The Member shall, where applicable, advise the Council if they receive an
annotation on their practising certificate.
Meeting and Reporting
2.9
The Member is expected to be available for Competence Authority panel meetings
estimated at 6 to 10 days per year.
2.10 The Member is also expected to be available, within reason, to respond to requests
from the Competence Authority chairperson to consider particular cases or matters.

Fee
General
3.1
The Council shall pay the Member (or by agreement the Member’s employer) a fee
for the provision of Services pursuant to this Agreement as set out in the Council’s
Guide to Competence Authority Member Fees and Expenses (Fee).
3.2
Subject to clause 3.1, the Member shall not demand, claim or accept any fee,
gratuity, commission or benefit from any person or persons other than the Council

in payment for any matter or thing related to this Agreement.
3.3
At no time and under no circumstances will the Council have any liability to pay or
be called upon by the Member to pay to the Member any sum or sums other than
the Fee and shall have no liability in relation to any employment relationship or
entitlements whatsoever in any jurisdiction, including for example:

(a)
holiday pay; or
(b)
sick or bereavement pay; or
(c)
redundancy or any other form of severance pay; or
(d)
superannuation, including any contribution to Kiwisaver; or
(e)
accident compensation levies; or
(f)
insurance; or
GST (except any GST paid in relation to the Fee).
Expenses
3.4
The Council will pay the Member’s actual and reasonable Expenses incurred in
provision of Services pursuant to this Agreement as set out in the Council’s
Guide to
Competence Authority Member Fees and Expenses (Fee). All claims for expenses
must be supported with GST receipts or tax invoice for the relevant expense.

Termination
Termination
4.1
The Member’s appointment may be terminated in the following circumstances:
(a)
At the Expiry Date as defined in Schedule 2 to this Agreement.
(b)
When the Member resigns by giving one month’s notice in writing from the
date specified in the notice, or at an earlier date determined by the Council
at its discretion.
(c)
When notified in writing by the Chairperson of the Council that the Member’s
appointment is terminated in accordance with the Rules, as may be
amended from time to time.

Survival
5.1
Following expiry or termination of this Agreement for whatever reason, the
provisions of the clauses headed 4 Termination, 6 Confidentiality, 7 Conflict of
Interest, 8 Liability and indemnity (inclusive), together with other provisions that are
by their nature intended to survive, will remain in full force and effect (including any
Intellectual Property Rights).

Confidentiality
Confidential information means any information:
(a)
concerning teachers, pupils, parents of pupils, employees of the Council,
service providers and contractors, stakeholders and other identifiable

individuals which comes to the Member’s knowledge through their services
to the Council; or
(b)
disclosed by the Council to the Member on a confidential basis; or
(c)
which might reasonably be expected to be confidential in nature; and

(d)
includes but is not limited to all intellectual property of the Council, this
Agreement, Fees, details or organisational structure, financial details,
staffing and employee details.
6.2
The Member shall not at any time, directly or indirectly disclose or permit to be
disclosed to any person, use for itself or to the detriment of the other party, any
Confidential Information except:
(a)
as required by law; or
(b)
as is already or becomes public knowledge, other than as a result of a
breach by the party disclosing or using that Confidential Information of any
provision of this Agreement; or
(c)
as authorised in writing by the Council; or
(d)
to the extent reasonably required by this Agreement.
7
Conflict of Interest
7.1
A Member who has an interest in or is otherwise involved in a matter which relates
to the Member’s provision of Services pursuant to this Agreement must disclose to
the Council details of the interest or involvement as soon as practicable.
7.2
The details that must be disclosed are-
(a)
the nature of the interest; or
(b)
the nature and extent of the interest.
7.3
If a Conflict of Interest does arise the Parties will discuss, agree and record in
writing whether it can be managed and, if so, how it will be managed.
8
Liability and indemnity
8.1
The Council shall at all times indemnify the Member in respect of any loss or
damage, special or consequential and whether arising in contract, tort (including
negligence or breach of statutory duty) or otherwise, which may be suffered by the
Member as a direct or indirect result of any act done or omitted to be done by the
Member if the act or omission was (so far as the Member’s involvement is
concerned) in good faith and in pursuance or intended pursuance of the provision
of the Services pursuant to this Agreement, Polices and/or the Rules.
8.2
The Member shall be entirely responsible and liable for its own statutory obligations
to pay, among other things, GST, income tax, and/or public liability insurance,
accident compensation levies and other such payments required by New Zealand
law.
9
Variation

9.1
Subject to clause 9 of this Agreement, no variation of the terms and conditions of
this Agreement shall have any legal effect unless it is in writing and signed by each
party.

10
Entire agreement
10.1 This Agreement, together with the Schedules, Council policies, Council’s
Guide to
Competence Authority Member Fees and Expenses, and Teaching Council Rules
2016, constitutes the full and entire agreement between the parties with respect to
the provision of the Services by the Member to the Council, and supersedes all
previous negotiations, communications, commitments and agreements whether
written or oral.

Independent advice
11.1 The Member acknowledges that it has had full and proper opportunity to seek and
take independent advice on the terms of this Agreement.

Role Description – Member of the Competence Authority
Title
Member of the Competence Authority
Authority
An appointed member of the Competence Authority has the authority to serve
in this role under Teaching Council Rules 2016.
Role Purpose
To carefully consider evidence before the Competence Authority and contribute
to the Competence Authority’s decision in respect of each case before it.
Responsibilities
Every member of the Competence Authority is responsible to the Council. This
relationship is exercised through the Competence Authority Panel Chairs and
Deputy Chairs and the Competence Authority Co-ordinator.
Commitment
Members of the Competence Authority are expected to meet on one or two
days each month. Some travel may be required to attend Competence
Authority meetings.
Key tasks
Responsibilities
Members of the Competence Authority will:
• make themselves available to attend hearings of the Competence
Authority panel
• prepare for each hearing of the Competence Authority by reading and
considering all related material
• carefully consider the information and evidence presented to the
Competence Authority
• discuss the evidence and related facts with other members of the
Competence Authority impartially
• contribute to the Competence Authority’s decisions in respect of each
matter, both in terms of the complaint and any penalty or penalties
imposed, and any other action to be taken
• avoid discussion or debate in respect of any matter before the
Competence Authority with any person not a member of the Competence
Authority
• make no public or private disclosures in respect of any Competence
Authority processes or outcomes
• ensure quality and compliance with the relevant legislation including the
Education Act 1989, the Education and Training Act 2020, the Teaching
Council Rules 2016, and the Code of Professional Responsibility.
• act in good faith, with all reasonable care, diligence, honesty and integrity
• exercise the highest possible level of skill, judgment and discretion when

The Council shall at all times indemnify the Member in respect of any loss or
damage, special or consequential and whether arising in contract, tort (including
negligence or breach of statutory duty) or otherwise, which may be suffered by the
Member as a direct or indirect result of any act done or omitted to be done by the
Member if the act or omission was (so far as the Member’s involvement is
concerned) in good faith and in pursuance or intended pursuance of the provision
of the Services pursuant to this Agreement, Polices and/or the Rules.
8.2
The Member shall be entirely responsible and liable for its own statutory obligations
to pay, among other things, GST, income tax, and/or public liability insurance,
accident compensation levies and other such payments required by New Zealand
law.

Variation

Subject to clause 9 of this Agreement, no variation of the terms and conditions of
this Agreement shall have any legal effect unless it is in writing and signed by each

Entire agreement
10.1 This Agreement, together with the Schedules, Council policies, Council’s
Guide to
Competence Authority Member Fees and Expenses, and Teaching Council Rules
2016, constitutes the full and entire agreement between the parties with respect to
the provision of the Services by the Member to the Council, and supersedes all
previous negotiations, communications, commitments and agreements whether
written or oral.

Authority
An appointed member of the Competence Authority has the authority to serve
in this role under Teaching Council Rules 2016.
Role Purpose
To carefully consider evidence before the Competence Authority and contribute
to the Competence Authority’s decision in respect of each case before it.
Responsibilities
Every member of the Competence Authority is responsible to the Council. This
relationship is exercised through the Competence Authority Panel Chairs and
Deputy Chairs and the Competence Authority Co-ordinator.
Commitment
Members of the Competence Authority are expected to meet on one or two
days each month. Some travel may be required to attend Competence
Authority meetings.
