You met with Michael Prentice, Deputy Chair, on 21 February to discuss this issue. In this
meeting, Michael agreed to act as Chair, as allowed for under Schedule 5 of the Crown Entities
Act 2004, until a Chair appointment can be progressed.

The attached APH paper proposes your appointment of Jannita Pilisi as a member to the
Council. Consultation with coalition parties is required before this paper can go before APH.
Formal consultation and operating arrangements have yet to be agreed, however, we
recommend no less than ten working days for consultation. Your office will assist in arranging
this consultation.

Appointments to the Arts Council of New Zealand Toi Aotearoa (Council) are made in
accordance with section 10 of the Arts Council of New Zealand Toi Aotearoa Act 2014 (Act) and
with the Crown Entities Act 2004. The Board consists of 13 members.

At an officials meeting on 12 February, you agreed to progress the appointment of Jannita Pilisi
to replace Caren Rangi as a member of the Council [BR23/500 refers].

The Chair, Caren Rangi, is aware of your intended appointment, and Jannita Pilisi has indicated
her availability to serve on the Council. Appropriate due diligence is underway, including
background checks and completion of the requirements before appointment outlined in section
31 of the Crown Entities Act 2004.

The attached Cabinet Appointment and Honours Committee (APH) paper proposes your
appointment of Jannita Pilisi as a member to the Council for a three-year term commencing
from the date of appointment and expiring on 31 March 2027.

Consultation with the Minister for Pacific Peoples and coalition parties is required before this
paper can go before APH. Appendix 1 provides for consultation with the Minister for Pacific
Peoples, and your office will assist in arranging consultation with coalition parties. We will aim
for APH on 9 April 2024, requiring the paper to be lodged on 4 April.

Following this appointment, the Council will consist of 13 members, of which nine are female
(69 percent). The Board will have members who are Māori (six, 46 percent), Pākehā / NZ
European (four, 31 percent), Pasifika (two, 15 percent - Niuean and Tongan), and Chinese
Cambodian (one, 8 percent).
The Deputy Chair will provide cover during the Chair vacancy

This letter seeks to consult with you on an upcoming appointment to the Arts Council of New
Zealand Toi Aotearoa – Creative NZ (Council).
The Council is established to encourage, promote, and support the arts in New Zealand for
the benefit of all New Zealanders. It promotes the development of a New Zealand identity in
the arts; allocates funding to projects for professional and community arts; and upholds and
promotes the rights of artists and the right of persons to freedom in the practice of the arts.
Section 10(5) of the Arts Council of New Zealand Toi Aotearoa Act 2014 requires me to
appoint at least two members to the Council that are qualified by their knowledge of the arts
and the traditions or cultures of the Pacific Island peoples of New Zealand
. This section of the
Act also requires consultation with you, as Minister for Pacific Peoples, before these members
are appointed.
The term of one such member, Caren Rangi, expires on 21 March 2024. Ms Rangi was
originally appointed as a member in 2014 and was appointed as Chair in 2021. I am writing
to seek your views on my proposed appointment of Jannita Pilisi to replace Caren Rangi as
a member of the Council for a full three-year term.

Proposal

This paper outlines my intention to appoint Jannita Pilisi as a member of the Arts
Council of New Zealand Toi Aotearoa (the Council), for a three-year term
commencing on the date of appointment and expiring on 31 March 2027.
Background

The Arts Council of New Zealand Toi Aotearoa Act 2014 (the Act) established an
autonomous Crown entity to unify and replace the former Arts Council, Arts Board, Te
Waka Toi and the Pacific Arts Committee, which existed under the previous Arts
Council of New Zealand Toi Aotearoa Act 1994.

The purpose of the Council is to encourage, promote and support the arts in
New Zealand for the benefit of all New Zealanders. Pursuant to section 7 of the Act,
the Council has the following principal functions:

encourage, promote, and support the arts in New Zealand for the benefit of all
New Zealanders:

promote the development of a New Zealand identity in the arts:

allocate funding to projects for professional and community arts, including
funding for Māori arts; the arts of the Pacific Island peoples of New Zealand;
and the arts of the diverse cultures of New Zealand.

uphold and promote the rights of artists and the right of persons to freedom in
the practice of the arts:

maintain relationships with other agencies and organisations:

advise the Minister on any matter relating to or affecting the functions of the Arts
Council:

Under section 10 of the Act, the Council consists of thirteen members appointed by
the Minister. In appointing the members, the Minister must have regard to the need for
members to have among them a broad knowledge of arts practices, including
knowledge of professional and community arts. A list of the current membership is
attached.

The term of Caren Rangi expires on 21 March 2024. Ms Rangi was originally appointed
in May 2014 as a member and was appointed to the office of Chair in 2021.

I intend to appoint Jannita Pilisi as a member of the Council for a three-year term to
replace Caren Rangi.

Caren Rangi is one of the two members on the Board qualified for appointment by their
knowledge of the arts and of the traditions or cultures of the Pacific Island peoples of
New Zealand, as required by section 10(5) of the Act.

Upon the finalisation of the proposed appointment, Caren Rangi will cease to be a
board member and Chairperson, in accordance with section 32(3)(b) and Schedule 5
section 2(c) of the Crown Entities Act 2004. Michael Prentice, Deputy Chairperson, will
exercise the chairperson’s functions and powers for an interim period, in accordance
with the Crown Entities Act 2004, until a Chair appointment can be progressed.
Representativeness of reappointment

Appointments to the Arts Council are subject to section 29(2) of the Crown Entities Act
2004, which addresses the desirability for diversity in the membership of Crown entity
boards and the need for the appropriate skills and experience to assist the entity to
achieve its objectives and perform its functions.

The proposed appointment will ensure the Council continues to have the required skills
and experience and is well-balanced in terms of ethnicity, age, and geographic
representation. The Council will have nine female and four male members. There will
be six members who are Māori, two Pasifika, and one Asian member. One member
also identifies as disabled.
Remuneration

The Council is classified under the Cabinet Fees Framework as a Group 3a Level 4
governance board. The fee for a member is $14,000 per annum, which is within the
prescribed range for this classification.

Appointment process and consultation

I can confirm the appropriate process has been followed in considering the proposed
appointment in terms of the Public Services Commission appointments guidelines and
the requirements of the Crown Entities Act 2004. This included considering advice from
Manatū Taonga Ministry for Culture and Heritage who discussed the proposal with the
Chair and sought nominations from Government population agencies.

I have consulted with the Minister for Pacific Peoples on the appointment of Jannita
Pilisi, in accordance with section 10(5) of the Act.
Conflicts of interest

I can confirm that appropriate enquiries concerning conflicts of interest have been
carried out, in accordance with Public Services Commission appointment guidelines,
to identify any conflict of interest that could reasonably be identified. No conflicts of
interest have been identified.

In the event of any conflicts arising, the Council has rigorous conflicts of interest
policies and procedures in place in accordance with the Crown Entities Act 2004.

A media statement may be issued once the appointment has been approved and Ms
Pilisi has been notified. A notice will be published in the New Zealand Gazette.
Recommendation

It is recommended the Committee note my intention to appoint Jannita Pilisi as a
member of the Arts Council of New Zealand Toi Aotearoa, for a term commencing on
the date of appointment and expiring on 31 March 2027.

six Māori members (50 percent), one Pasifika (Tongan) member (8 percent), and

likely result in a member appointment, due to the high competency needs

to cover the functions of the Chair, until a Chair appointment can be made.

This letter updates you on an upcoming appointment to the Arts Council of New
Zealand Toi Aotearoa – Creative NZ (Council) and seeks your views and possible
nominations.
The Council is established to encourage, promote, and support the arts in Aotearoa
New Zealand for the benefit of all New Zealanders. The Council promotes the
development of a New Zealand identity in the arts; allocates funding to projects for
professional and community arts; and upholds and promotes the rights of artists and
the right of persons to freedom in the practice of the arts.
Section 10(5) of the Arts Council of New Zealand Toi Aotearoa Act 2014 requires me
to appoint at least two members to the Council that are qualified by their knowledge of
the arts and the traditions or cultures of the Pacific Island peoples of New Zealand
. This section of the Act also requires consultation with you, as Minister for Pacific
Peoples, before these members are appointed.
The term of Caren Rangi, current Chair, expires on 21 March 2024. Ms Rangi was
originally appointed as a member under section 10(5) in 2014 and was appointed as
Chair in 2021. Ms Rangi has indicated her desire to retire upon her term expiry next
year.
After discussions with the outgoing Chair, my view is that, in addition to sound
knowledge of Pacific Island culture and arts, the Council would benefit from an
appointment with strong Crown governance experience, understanding of the
machinery of government, and financial acumen.
I look forward to your views and suggestions of candidates who could give a fresh
Pacific perspective to the Council. If you have any specific nominations, could these

We note your expectation set out in your 7 March 2024 letter that I will stay in the role of Chair past
my recent expiry date of 21 March 2024 until Jannita Pilisi’s appointment is finalised. My
understanding of your expectations to date were that I would vacate my position on my expiry date
from which time Michael Prentice would take on the Acting Chair role. On this basis I have made
other commitments from April onwards. However, I am available to remain in the role until the
earlier of 16 April 2024 or the date at which Jannita’s appointment is finalised.
We also note your expectation that the chief executive recruitment process is put on hold until the
process to appoint a new Chair is underway and that person can be involved in the process.

As Minister for Arts, Culture and Heritage, I am pleased to advise that you have been appointed
as a member of the Arts Council of New Zealand Toi Aotearoa (Creative NZ) under section 10(5)
of the Arts Council of New Zealand Toi Aotearoa Act 2014 and in accordance with the Crown
Entities Act 2004, for a term commencing on 29 April 2024 and expiring on 31 March 2027.
